1 Introduction

1.1 These terms and policies described in this document constitute the official legal guidelines that users must follow when using RWA Exchange services. When you choose to use the various services provided by the RWA Exchange platform, either directly or indirectly, these terms will automatically take effect. Therefore, before you start using RWA Exchange services, we ask that you carefully read these terms and ensure you fully understand and agree to comply with all the provisions before proceeding. Your use of the services constitutes your acknowledgment and acceptance of these terms.

1.2 If you have any questions about any part of the agreement, we welcome you to contact us at any time for assistance. If you do not agree with our terms, please do not use our services. Please note that these terms may be updated periodically, and we encourage you to review the latest version regularly.

1.3 This agreement should not be construed as providing professional advice in legal, tax, or financial matters. RWA Exchange does not act as the user's financial advisor, and users should not consider RWA Exchange as an entity providing such consulting services.

1.4 About RWA Exchange: RWA Exchange is the world's first comprehensive trading service platform for Real World Assets based on blockchain technology, dedicated to creating a trading bridge between real-world asset tokens and digital currencies.

1.5 Definitions and Interpretation

1.5.1 "Account" refers to all accounts you establish with RWA Exchange to record your use of RWA Exchange services, including but not limited to your primary account and any related sub-accounts (if any);

1.5.2 "RWA" refers to Real World Assets.

1.5.3 "SPV" refers to Special Purpose Vehicle, a legal entity established for specific financial activities.

1.5.4 "AML/CFT" refers to the requirements for combating money laundering or terrorist financing as stipulated by applicable laws.

1.5.5 "KYC" means Know Your Customer.

1.5.6 "Services" encompass the following services provided by RWA Exchange to you, unless otherwise specified in the agreement:

(a)A platform for trading crypto assets;

(b)Custody and management services for crypto assets and/or fiat currencies;

(c) Any other services currently or in the future provided by RWA Exchange and its affiliated entities.

1.5.7 "Terms" means these User Terms And Conditions, including the latest version revised from time to time。

1.5.8 "Restricted Countries or Regions" refer to: countries or regions restricted or prohibited from certain commercial activities based on international regulations, specific national or regional laws, and guidelines issued by international organizations such as the United Nations and the Financial Action Task Force (FATF), specifically including but not limited to:

(a)Blockchain addresses listed in the prohibited transaction address lists published by the United Nations, other government agencies, or relevant authorities under applicable laws, including any addresses that are part of such lists;

(b)Blockchain addresses listed in the prohibited transaction address lists published by specific government agencies, such as addresses in the "Specially Designated Nationals List" published by the U.S. Department of the Treasury;

1.5.9 "FATF" refers to the official guidelines issued by the Financial Action Task Force regarding digital assets and digital asset service providers. This includes, but is not limited to, the FATF's June 21, 2019 publication titled "Guidance for a Risk-Based Approach to Virtual Assets and Virtual Asset Service Providers" (including all subsequent revisions and updates).

1.5.10 "Illegal Business" refers to all behaviors and activities that violate laws and regulations.

2. User Registration and Account Management

2.1 In order to use RWA Exchange's services and platform, you must create and maintain an RWA Exchange account.

2.1.1 If you are an Individual User, before you start using our Services, you need to declare that you are of legal age of majority and ensure that the personal information you provide is true, accurate and complete. Where necessary, you should also provide legal identification documents.

2.1.2 If you represent a legal entity, before using our services, you need to declare and guarantee that the entity is duly established and validly exists according to the law, and that you have the right to act on behalf of the entity. Also, the legal entity will be liable to us for any breach of these terms.

2.1.3 You must provide RWA Exchange with the information required to complete the authentication process. If this information changes, it is your responsibility to update it in a timely manner. RWA Exchange reserves the right to verify the information provided and may ask you to update it at any time to ensure its accuracy.

2.1.4 You confirm that You are not located or registered in any prohibited country or territory and that You will not conduct business activities in such territories.

2.2 Account Security, you acknowledge and undertake that you are responsible for all activities within your account.

2.2.1 You shall keep your login credentials properly and shall not disclose your account information to others, lend your account to others or entrust others to manage your account.

2.2.2 You shall be solely responsible for the security and operation of your account and the protection of your hardware and data from viruses and malware. RWA Exchange shall not be liable for any claims or losses suffered by you as a result of your failure to comply with these Terms.

2.2.3 You must keep your Account and Access ID secure from any attacks and unauthorised access and you must notify us immediately if:

(a) Your Account has been subject to unauthorised use;

(b) You are aware of or you have reasonable grounds to suspect or that the security of the Account has been compromised.

2.2.4 You must take the necessary security measures to protect your Account, including:

(a) strictly adhering to all RWA Exchange's mechanisms or processes;

(b) Creating strong passwords as required by RWA Exchange;

(c) Ensuring that your tied email address is one that you yourself currently use in order to receive any notices or warnings that RWA Exchange may send to you;

(d) Do not allow remote access or share your computer and screen with others when logged into your RWA Exchange account;

(e) At the end of each visit, please log out from the Website or Platform;

You ensure that you are well aware that RWA Exchange will not ask you for your password or authentication code under any circumstances, and that RWA Exchange will not be liable for any damages arising from the disclosure of your password or authentication code to others for your own personal reasons.

2.2.5 You should monitor your history and notify us as soon as possible of any unauthorised or suspicious activity or transactions. You understand and are aware that any breach of security may result in unauthorised access to your RWA Exchange account by a third party and the loss or theft of digital assets and funds from the account as well as from associated accounts (e.g. associated bank accounts).

2.2.6 You should remember your password. If you forget your password inadvertently, you can reset your password after verifying it through your bound email address. You should immediately report to us any unauthorised operation or security breach.

2.3 Account Suspension and Freezing, You are aware and agree that RWA Exchange may temporarily or permanently suspend or freeze your account at any time.

2.3.1 In order to ensure the security of your account, we have the right to suspend your account and freeze or lock the funds and assets in your account at any time, and during the suspension period, some or all of your access to RWA Exchange will be restricted, including but not limited to the following reasons:

(a) you are ineligible or no longer eligible to use a particular RWA Exchange service;

(b) You/your account or its operation violates any term or condition of these Terms, any other RWA Exchange policy, rule, regulation, user agreement or procedure;

(c) An unauthorised person attempts to access your account or logs into your account who is not you;

(d) You provide false, untrue, outdated or incomplete information;

(e) Supplementing or adjusting the KYC Rules in accordance with regulatory requirements;

(f) Your account balance needs to be adjusted;

(g) You/your account violates any applicable laws and regulations;

(h) Actions taken in accordance with the provisions of any Applicable Laws and Regulations or at the request of an authorised body;

(i) Other reasonable grounds in the opinion of RWA Exchange.

2.3.2 RWA Exchange reserves the right to query or freeze your account at the request of any relevant government agency, judicial body or law enforcement agency. This may occur in the following circumstances:

(a) Your Account becomes the subject of an investigation by a law enforcement or government agency, whether through a search warrant, subpoena, court order or other similar legal process;

(b) Your Account is involved in pending or ongoing legal proceedings in any jurisdiction;

(c) You or your account is suspected of violating any applicable laws or regulations;

(d) You or your account is involved in any suspicious, illegal or fraudulent activity.

In such cases, if your account is suspended or frozen, RWA Exchange will continue to protect all assets and information in the account. At the same time, you understand and agree that such information may be seized and transferred to third parties, including but not limited to relevant authorised bodies.

2.3.3 If RWA Exchange learns or has reason to suspect that your account is associated with any prohibited business, we will treat this as a breach of these Terms and may take immediate steps to suspend or terminate your account, block transactions or freeze funds without any guarantee of prior notice to you. In addition, we reserve the right to report any suspected or actual Prohibited Business to law enforcement authorities.

2.3.4 When RWA Exchange suspends or terminates one or all of your services:

(a) If you have instructions that have not been carried out or have not been carried out in full, depending on whether we take action to terminate, suspend, put on hold, restrict or otherwise;

(b) in the case of a refund, you will be liable for the value of any transaction fee discounts, rebates, costs, charges and/or damages and you authorise us to deduct the costs and charges directly from any assets in your RWA Exchange Account without further notice.

2.4 Account closure, you have the right to request the closure of your RWA Exchange account at any time. Please note that once an account is closed, it cannot be reinstated.

2.4.1 Before closing your account, you will need to ensure that all pending orders have been cancelled or completed and provide the necessary transfer instructions in accordance with our Terms, indicating what to do with the legal tender and/or digital assets remaining in the account.

2.4.2 You will be responsible for all costs and liabilities associated with the closure of your account, which may include legal fees, court costs or asset transfer fees. If the cost of closing your account exceeds the current value of your account, you must make up the difference.

2.4.3 You must not close an account for the improper purpose of avoiding payment of fees or circumventing our anti-money laundering scrutiny. RWA Exchange reserves the right to accept account closure requests on a case-by-case basis in its sole discretion. We may reject a closure request, in particular if:

(a) You are attempting to avoid investigation by a regulator;

(b) There are outstanding transactions or unresolved claims;

(c) There is an outstanding balance due on your account;

(d) The account is subject to a freeze, hold, restriction or other similar status.

3. Terms of Service

3.1 Our services: RWA Exchange platform provides users with services including carbon assets Web3 tokenisation and trading, AI arithmetic assets Web3 tokenisation and trading, real estate Web3 tokenisation and trading, etc.; as well as trading services for a wide range of digital assets, such as BTC, ETH, USDT, etc. RWA Exchange provides users with services such as registration, account management, market information, digital asset trading and access to digital and legal tender currencies.

3.2 Service Restrictions: RWA Exchange reserves the right to restrict or suspend the service when necessary, so that when the user cannot use the services or cannot place or withdraw orders normally, we will not be liable for damages, including but not limited to system maintenance, security issues, legal requirements and other force majeure.

3.3 In order to prevent terrorist financing and anti-money laundering activities, as well as to ensure compliance with the laws and regulations of various jurisdictions, we will co-operate with authorised agencies and local, regional, national and transnational agencies around the world as required, and where necessary, we will provide information relating to you to these agencies.

3.4 We may disclose the information we have stored about you to third parties if it is necessary to comply with legal process such as a court order or subpoena; to protect your, our, or another person's rights, property, or safety; to enforce our Terms of Service and other related agreements; to recover money owed to us; or to assist in the investigation and prosecution of illegal activities.

3.5 By using our Services, you undertake that all actions on or through the RWA Exchange Platform are legal and compliant and that your assets are of lawful origin. In case of breach, RWA Exchange reserves the right to take measures including seizure, freezing, restriction or closure of accounts, and may cooperate with law enforcement agencies to deal with your digital assets and legal tender.

3.6 Not every service provided by RWA Exchange is covered by these Terms.

4. User behaviour

4.1 You may not use another person's account, or lend your account to others.

4.2 You must comply with all laws and regulations, and bear the corresponding legal consequences and responsibilities for your own behaviour involving this site and services. In addition, you must not violate the legal rights and interests of any third party. If RWA Exchange suffers losses as a result, we reserve the right to recover the losses from you through legal or other means.

4.3 RWA Exchange strictly prohibits unfair trading practices. RWA Exchange may suspend and/or terminate customer accounts and may report related activities to relevant government agencies if you engage in any of the following behaviours:

(a) Price manipulation, insider trading, false trading, market manipulation or other malicious market behaviour;

(b) Exploiting service loopholes or improper means to harm the interests of other users or RWA Exchange;

(c) Dissemination of information about prohibited assets or false and misleading information that may lead to trading;

(d) Any other activity that RWA Exchange deems harmful to the order of the market.

4.4 You shall not use RWA Exchange to conduct illegal transactions or activities, including but not limited to money laundering, fraud, infringement of intellectual property rights.

4.5 Personal Liability

You are fully responsible for your actions, including trading decisions and safety of funds. This specifically includes:

(a) Incorrect inputs due to operational errors, such as price, quantity or trading time (market vs. limit orders);

(b) Submission of trade orders at inappropriate times or errors in the orders themselves;

(c) Forgotten or compromised passwords;

(d) Computer or network security issues such as hacking or viruses;

(e) Transfer of assets to or from the wrong account;

(f) Operating on the instructions of a third party;

(g) Access to and use of your account by a third party.

4.6 If you violate the above provisions or applicable laws and regulations, RWA Exchange reserves the right to take necessary measures, including but not limited to freezing digital assets, suspending or blocking accounts, cancelling the proceeds of the violation, or even pursuing liability through legal channels. We shall not be liable for any loss caused to you as a result of taking such measures.

4.7 You are responsible for declaring and paying your own taxes in accordance with the law and ensuring that taxes are properly withheld, reported and paid to the appropriate tax authorities. Please note that we do not provide legal or tax advice, are not responsible for determining whether a transaction gives rise to a tax liability, and are not responsible for the collection, reporting, withholding or payment of taxes. You should consult a professional lawyer or tax advisor to understand your tax obligations and position in the relevant jurisdiction.

5. Trading Rules

5.1 Trading Currencies: On the RWA Exchange platform, you can trade using either fiat currencies or digital currencies, while adhering to the platform's trading processes and rules.

5.2 Order Verification: Before submitting a trading order, you should carefully check all trading information. It is up to you to ensure the validity and accuracy of the order, including the details of the recipient of the asset. RWA Exchange will not be responsible if the information you provide is invalid or inaccurate.

5.3 Trading Hours: The RWA Exchange platform is available 24 hours a day, 7 days a week, every day of the year, subject to the exclusion of regular maintenance, upgrades or unforeseen accidents, interruptions or suspensions.

5.4 Sufficient Assets: You must ensure that there are sufficient assets in your account to cover the transaction and the payment of related fees, otherwise the transaction will not be executed.

5.5 Asset Lock: After placing an order, RWA Exchange will lock the assets and fees required for the transaction until the order is filled or cancelled.

5.6 Order Execution: Once an order is executed, it becomes an irrevocable transaction. Unexecuted portions of an order may be cancelled. You must exercise caution when trading and are solely responsible for any losses that may occur.

5.7 Maintenance Notices: While the Platform is undergoing maintenance, you may find that some or all of its features are temporarily unavailable. You agree to this.

5.8 Payment of Fees: When using the RWA Exchange Services, you may be required to pay a number of fees including, but not limited to, commissions, fees and other related costs. You should be aware of all possible fees prior to trading and agree that we may automatically deduct these fees from your account assets without prior notice.

5.9 Trading Limits: RWA Exchange will set trading limits based on market conditions and risk management strategies and reserves all rights to adjust the limits.

5.10 If you deposit digital assets or fiat currencies that are not supported by RWA Exchange, RWA Exchange may require you to withdraw these assets to your external wallet within a specified period (determined by applicable laws, FATF guidelines, or RWA Exchange internal policies). Exceptions will be handled according to relevant laws, FATF guidelines, or RWA Exchange policies. Any losses and risks resulting from the deposit of unsupported assets are your responsibility. RWA Exchange is not obligated to retain these assets and will not be liable for any direct or indirect losses arising from this.

5.11 If an account remains inactive for an extended period without any login or transactions, RWA Exchange reserves the right to take the following measures:

(a) Attempt to notify you via the contact details you provided during registration;

(b) If, after reasonable attempts to contact you and giving you sufficient response time, the assets remain unclaimed, RWA Exchange reserves the right to dispose of them in accordance with relevant laws and regulations and internal policies, which may include, for example, donating them to charitable organisations or using them to cover RWA Exchange's operating expenses.

6. Security and privacy

6.1 RWA Exchange adopts industry standard security measures to protect user assets, transaction data and personal privacy, including but not limited to:

(a) User identification, upon registration you will be required to provide proof of identity and proof of address in order to meet anti-money laundering (AML) and customer identification (KYC) legal requirements;

(b) Cold and hot wallet storage and management. RWA Exchange stores most of its assets in cold wallets to reduce the risk of hacking, limits the amount of assets stored in hot wallets, and takes additional security measures;

(c) Transaction and Withdrawal Monitoring. RWA Exchange will monitor for unusual transaction activity, such as unusual transaction volumes or withdrawal requests, in order to detect and prevent potential fraud or security threats in a timely manner;

(d) Encryption Technology, RWA Exchange will use encryption technology that meets regulatory requirements to protect user data and transaction information, such as sensitive information in transit and in storage;

(e) Regular internal and third-party security audits to ensure the effectiveness of security measures and to identify and fix potential security breaches in a timely manner;

(f) Risk management and contingency planning. RWA Exchange develops and implements risk management strategies, including the assessment and control of market risk, credit risk, operational risk, etc., and prepares emergency response plans for prompt action in the event of a security incident.

(g) Compliance and Regulatory Compliance, complying with all applicable laws and regulations, including reporting suspicious transactions, protecting user privacy and data protection regulations.

(h) Use of multi-signature wallets with multiple private keys to jointly authorise and execute transactions for added security.

6.2 RWA Exchange will protect Users' personal information from unauthorised disclosure to third parties.

6.2.1 You have understood and agreed to the Privacy Policy.

6.2.2 If there are changes in RWA Exchange's business, the Privacy Policy will be changed accordingly, and you should take the initiative to read and understand the latest version of the Privacy Policy.

7. Disclaimer and Limitation of Liability

7.1 RWA Exchange shall not be liable for direct or indirect damages arising out of your use of the Services, unless such damages are caused by RWA Exchange's intent or gross negligence.

7.2 RWA Exchange shall not be liable for typographical errors or negligence, or failure to save, modify, delete or store the information provided by you, which are not intentionally caused by the subjective will of RWA Exchange.

7.3 Based on the special nature of the Internet, RWA Exchange does not guarantee that there will be no interruption of service, timeliness or security of service, and we are not responsible for any interruption of service that is not caused by us.

7.4 RWA Exchange may from time to time suspend access to Accounts and the Services for scheduled and emergency maintenance. RWA Exchange will use reasonable endeavours to ensure that transactions on the Platform are processed in a timely manner, but makes no representations or warranties as to the time required to complete such processing.

7.5 RWA Exchange has the right but not the obligation to improve or correct any omissions and errors in any part of the Site. Whilst we will keep the information on the Site and Platform up to date, we make no representation, warranty or guarantee, express or implied, that its contents, including information relating to the Services, are accurate, complete or up to date.

7.6 For all notices or marketing campaigns, please refer to the Company's official website. RWA Exchange shall not be liable for any campaigns or information on winning prizes, offers, etc. obtained through other channels.

7.7 RWA Exchange will do its best to ensure a safe online environment for you, but we do not guarantee that the Site or its servers are free of viruses or other potentially harmful elements; therefore, you should use industry-recognised software to check for and remove viruses from files downloaded from the Site.

7.8 RWA Exchange does not warrant the security or confidentiality of information transmitted to or received from RWA Exchange by electronic means (e.g., Internet, e-mail, SMS) as RWA Exchange cannot ensure that the transmission information for such information is always protected. If you have reason to believe that your data is at risk, you should contact us immediately.

7.9 RWA Exchange provides links to third party websites (including, without limitation, content, materials or information contained in third party websites) as a convenience, but they are not under our control. You acknowledge and agree that RWA Exchange is not responsible for any aspect of the content, materials, information or services contained in any third party website.

7.10 You are solely responsible for obtaining the data network access required to use the RWA Exchange Services. You are solely responsible for obtaining and updating compatible hardware or equipment required to access and use the Services, the Website and any updates thereto. RWA Exchange does not warrant that the Services, or any portion thereof, will operate on any particular hardware or equipment. RWA Exchange Services may be subject to failures and delays inherent in the Internet and electronic communications.

7.11 You acknowledge and agree that RWA Exchange shall not be liable for any loss arising out of or in connection with:

(a) any inaccuracies, defects or omissions in any pricing information relating to the Digital Assets;

(b) any interruption of any such data;

(c) Any error or delay in the transmission of such information;

(d) any damage caused by the act, omission or breach of these Terms by another user.

7.12 You acknowledge and agree that RWA Exchange shall not be liable to you for any loss arising out of or in connection with

(a) Fraud or fraudulent misrepresentation;

(b) Intentional misconduct;

(c) death or personal injury resulting from its conduct.

7.13 To the maximum extent permitted by applicable laws and regulations, the total value of RWA Exchange's total liability to you for losses that may arise out of or in connection with information or materials provided on the RWA Exchange Platform shall in any event be limited to the lesser of:

(a) $100;

(b) the total amount paid by you to RWA Exchange for the Services in the last twelve (12) months.

7.14 In no event shall RWA Exchange be liable to you for any consequential damages.

7.15 In no event shall RWA Exchange be liable for delays or failure to perform due to force majeure events.

8. Intellectual property rights

8.1 Intellectual property rights include:

(a) copyright, patents, database rights and rights in trade marks, designs, know-how and confidential information (whether registered or not);

(b) applications for the registration of any of the foregoing rights and applications for the registration of any of the foregoing rights;

(c) all other intellectual property rights and equivalent or similar forms of protection existing anywhere in the world.

8.2 The copyright in RWA Exchange's Knowledge remains with RWA Exchange at all times and may not be reproduced, distributed or otherwise commercially exploited by any person without permission.

8.3 The Service is protected by copyright and other intellectual property laws.

9. Dispute settlement

9.1 Any dispute arising from the use of the RWA Exchange Services shall first be resolved through amicable negotiation, the content of which shall be kept confidential by both parties, and in the event that such negotiation fails, the dispute shall be resolved by international arbitration in accordance with the International Arbitration Clause of the Djibouti Code.

9.2 The Parties shall keep confidential the entire content of the arbitration, including but not limited to all documents and information related to the arbitration, submissions made during the arbitration process, any order issued or any award made.

9.3 The Parties may disclose the foregoing to third parties in the following circumstances:

(a) the arbitral tribunal, the Parties, the Parties' counsel, experts, witnesses, accountants and auditors, insurers and reinsurers and other persons necessary for the conduct of the arbitration;

(b) With the written consent of the other party;

(c) By order of a competent authority or court of competent jurisdiction.

9.4 If the arbitration is initiated by RWA Exchange, we will send a notice to the email address or address provided by you and you must ensure that your email address and postal address are accurate.

10. Modification and termination of the Terms

10.1 The application, interpretation, variation and enforcement of these Terms shall be governed by and construed in accordance with the laws of the Republic of Djibouti.

10.2 RWA Exchange reserves the right to modify, replace, supplement or delete (each a "Modification") these Terms or any part of these Terms in response to changes in law or regulation or business needs.

10.3 If you object to any modification, replacement, addition or deletion of these Terms, you shall cease using RWA Exchange's services and close your account, failing which RWA Exchange shall be entitled to:

(a) Immediately terminate the entire agreement with you under these Terms;

(b) Suspend your access to and use of some or all of RWA Exchange's Services.

10.4 RWA Exchange may terminate the provision of some or all of the Services to you if you breach these Terms or if RWA Exchange deems it necessary to do so.

11. Legal and Compliance Compliance

11.1 You must comply with all relevant laws and regulations when using the RWA Exchange Services, which include, but are not limited to, anti-money laundering (AML) and customer identification (KYC) rules.

11.1.1 Anti-Money Laundering (AML) Rules:

(a) You shall not engage in any activity that may involve money laundering, including but not limited to transferring illegally acquired funds or assisting others to make such transfers;

(b) You shall assist RWA Exchange in reporting suspicious transactions and provide relevant information when requested.

11.1.2 Customer Identification (KYC) Provisions:

(a) You shall provide true, accurate and complete information when registering for and using the RWA Exchange Services.

(b) You shall update the KYC information on a regular basis in accordance with RWA Exchange's requirements and promptly notify us of any changes in the information.

11.1.3 Transaction Monitoring and Reporting:

(a) You shall comply with RWA Exchange's monitoring requirements for large-value and frequent transactions and provide proof of the legitimacy of the transaction when necessary;

(b) You shall understand and accept that RWA Exchange may report certain trading activities to the relevant regulatory authorities.

11.1.4 Data Protection and Privacy:

(a) You shall protect its personal data from unauthorised access and comply with all applicable data protection regulations;

(b) You shall ensure that you do not disclose sensitive information, such as login credentials, trading passwords, etc., when using the Exchange Services.

11.1.5 Tax Compliance:

(a) You shall be responsible for reporting income generated from its trading activities and paying the appropriate taxes in accordance with local laws;

(b) You shall keep records of your transactions for tax reporting and auditing purposes.

11.1.6 Market Behaviour Compliance:

(a) You shall not engage in market manipulation, insider trading or other unfair market practices.

(b) You shall comply with RWA Exchange's trading rules and fair trading principles.

11.2 In the event of changes in laws and regulations, RWA Exchange may need to adjust its services or request additional information from you to ensure compliance.

12 Other

12.1 Force Majeure: Force majeure refers to circumstances beyond RWA Exchange's control and which cannot be avoided or overcome, and these circumstances may result in RWA Exchange being unable to provide services or fulfill contractual obligations:
